Sur Reuters, ils indiquent : deuxième moitié de 2016 donc d’ici à la fin de l’année.

C’est clair que c’est frustrant, j’ai les 3 en portefeuille (HCP, O, VEREIT) et je suis presque tenté de renforcer O même à un cours comme celui-là. Après, je suis en positif sur les deux autres, donc ça compense mais là, je vois +60% sur O, y’a de quoi se poser des questions sur la conservation des autres lignes.

HCP post-spin off devrait être intéressant, car très qualitatif.

Pour VEREIT, le cours est maintenant revenu proche de la NAV, donc au pire la société peut lever de l’equity. Du coup le dossier me paraît assez sûr maintenant. Peut-être même que Cole Capital va finir par ramener de l’argent, vu le niveau des taux, leurs SCPIs devraient attirer des investissements particuliers.

HCP a publié son T2-2016.

Les résultats sont présentés considérant le futur spin-off (nommé "Quality Care Properties", on ne sait pas s’il faut rire ou pleurer) des propriétés "pourries", prévu pour le T4-2016.

De fait, pour la faire courte, les résultats sont maintenant très bons, avec notamment une croissance du NOI de 4,4% :

Concernant l’estimé de profits distribuables post-spin-off :

Avec un dividende annuel à $2,3 ; nous avons un taux de distribution autour de 85%. Aussi, contrairement à certains pronostiques que j’ai pu lire ici et là, je ne serais pas surpris si HCP maintenait son dividende post-spin-off, pour éviter de perdre son statut d’aristocrate des dividendes, qu’ils ont mis 25 ans à obtenir…

Malgré tout le blabla habituel du management sur le spin-off (unlock the opportunities, etc.), en ce qui me concerne, je céderai probablement "Quality Care Properties" dès que Binck le permettra, pour réinvestir dans HCP, qui pour le coup deviendra une foncière de santé solide et de croissance.

Ce positionnement est par ailleurs tout à fait logique : ils auront besoin d’autant de souplesse que possible. Et la création de valeur viendra d’ailleurs.

Le spin-off sera effectif fin de ce mois (donc probablement encore quelques jours après chez Binck qu’il faudra certainement relancer, comme d’habitude pour les OST) :

Premier Spin off pour moi. Je pensais que le prix serait connu à l’avance. Le futur prix de HCP+QCP doit rester fixe non ? L’annonce implique-t-il que le prix de QCP est fixé à 1/6 de la valeur de HCP ?

EDIT : je viens de faire une simulation est cela ne me semble pas possible que ce soit 1/6 vu qu’on distribue 5 fois moins d’action.

Le prix n’a rien à voir avec les parités d’échange. Je suppose qu’un prix sera publié au moment du spin-off, et servira de référence aux futures transactions (pour le calcul des prix de revient).

Si le prix de référence de QCP est égal à celui de HCP après le spin-off, alors vous avez raison. Mais rien ne nous dit que ce sera le cas.

Pour un aperçu, regardez l’opération de spin-off entre Ventas et CCP, effectuée l’année dernière (en août de mémoire) : 1 CCP pour 4 Ventas, mais CCP = 32 $ alors que Ventas valait environ 64 $ avant spin-off (et donc environ 56 $ après).

Comme c’était prévisible, le spin off QCP démarre mal : -5,3% pour son premier jour de cotation.

J’espère que Binck ne livrera pas trop tard les actions, sinon ça risque fort de ne déjà plus valoir grand-chose le temps qu’on puisse vendre…

RATINGS RATIONALE

QCP’s ratings reflect significant tenant concentration to HCR Healthcare LLC (HCR, B3 corporate family rating, negative outlook), exposure to the heavily regulated skilled nursing (SNF) segment and negligible unencumbered asset pool. Moderate leverage for the rating level, sound fixed charge coverage and adequate liquidity are some important positive credit considerations.

At 2Q2016, the HCR SNF portfolio was 83% occupied and HCR’s normalized EBITDAR coverage, excluding provisions for general and professional liability claims, was weak at 1.03x. The Department of Justice’s investigation of HCR increases credit risk as there is material uncertainty regarding the resolution timeline and magnitude of penalties, if any.

Post spin-off and financing, QCP’s capital structure will include $1750 million of issued debt relative to a gross asset base of approximately $6.0 billion. Effective leverage, debt + preferred as a % of gross assets, will be close to 30% and fixed charge coverage will be strong for the rating category. Nevertheless, given the preponderance of secured financing in the capital structure, the REIT will not have access to a meaningful unencumbered base. However, near term liquidity requirements will be modest with no significant debt maturities through 2021.

The stable ratings outlook reflects QCP’s healthy liquidity position and stable capital and earnings profile given the long-term nature of the lease arrangements and cash based revenue recognition. The outlook also reflects Moody’s expectation of successful execution of the capitalization plan.

A ratings upgrade is unlikely in the near-term given the tenant concentration and tenant’s weak credit coverage metric. Positive rating movement would require HCR’s normalized EBITDAR coverage to improve to 1.4x or higher, QCP’s fixed charge coverage to remain above 3.0x and unencumbered asset greater than 20% of gross assets. A reduction in single tenant exposure to 60% of aggregate revenue or lower would also be a meaningful factor.

QCP’s ratings can be downgraded if HCR’s normalized EBITDAR coverage drops below 1.0x or QCP’s fixed charge coverage is closer to 2.0x on a sustained basis. Deterioration in HCR’s liquidity profile can also affect QCP’s ratings.

Post Spin-off, QCP will be one the largest REITs landlords in the SNF segment with 274 post-acute/SNF assets and 62 memory care/assisted living facilities (AL) in 30 states including 17 properties held for sale. HCR is the tenant in 249 SNF and 61 AL assets under a master lease arrangement guaranteed by HCR Healthcare.

Les points positifs sont que QCP est peu endettée et la taille relativement significative de son patrimoine ($6 Md).

Pour le reste, QCP est dans le mauvais secteur d’activité (regulated skilled nursing), avec le mauvais locataire et dans un contexte de remontée des taux.

Pour reprendre le commentaire du CEO de Welltower, HCP nous laisse avec un tas "pourri" et c’est à nous de nous débrouiller, alors que normalement c’est justement le travail du management d’une foncière que de gérer cela.

Bon, -8% en pré-ouverture, c’est une mauvaise prise en compte du spin off ou bien une mauvaise nouvelle est sortie ?

EDIT : -2%, mauvaise prise en compte du spin off sur le cours d’HCP

Mais QCP perd encore 10%…

Hum par contre la vente de mes QCP cet après-midi inscrit la totalité de la valeur des qcp vendues en plus values.

Si je raisonne juste cette "plus value" sur QCP est compensée par la moins value sur HCP.

Sauf que la plus value qcp est réalisée alors que celle sur HCP est latente. Ce qui nous est défavorable (sauf à externaliser la MV HCP mais bon)

En plus du spin-off, HCP continue son ménage et vient de vendre pour $1,125 Md de propriétés à Blackstone :

Pour information, pour ceux qui s’énervent à voir QCP dégringoler en attendant que leurs titres soient effectivement livrés chez leur broker, il est possible pour les détenteurs de compte sur marge chez Interractive Brokers de vendre un titre dès qu’il est négociable, et ce avant d’avoir reçu les titres issus du spin off.

Service Clients Interractive Brokers a écrit :

you can always enter orders if the account has sufficient funds. However, sometimes you can not trade a "When Issued" symbol in your IB account until after it turns into common stock.

So if the new shares were actively trading and the account had sufficient funds you could enter a short sell order in a margin account and when the account received the long shares from the spinoff then the position would net out to zero.

C’est donc une vente à découvert du nombre d’actions qu’on va recevoir, qui est réalisée au moment où l’ordre est passé. Puis lorsque l’on reçoit effectivement les titres, leur arrivée clôture automatiquement la position de vente à découvert "short".
